Terms and Conditions
These Terms and Conditions govern all sales of goods by SuperGel S.A. (“we”, “us”, “our”) to business customers (“you”, “your”, “Buyer”). By placing an order (via phone, WhatsApp, email, or otherwise), you accept these terms in full. They apply to all transactions and supersede any conflicting terms in your purchase orders or communications. SuperGel S.A. is a B2B distributor of frozen and dry food products in Gabon.
Orders and Acceptance
- Orders are placed by phone (+241 017 400 38), WhatsApp, email (info@sgl-ga.com), or direct communication.
- We confirm acceptance, product availability, pricing, and delivery schedule promptly.
- No minimum order quantity is required.
- All sales are subject to stock availability and our final confirmation.
Prices and Payment
- Prices are quoted in CFA Francs (XAF) and exclude any applicable taxes, duties, or fees unless stated otherwise.
- Pricing is B2B/wholesale with no significant retail distinction.
- Payment is by bank transfer, cheque, or cash (cash on delivery for some clients).
- Credit terms (e.g., 30 days) may be extended to approved clients only. Otherwise, payment is due on or before delivery.
- Late payments may incur interest or suspension of future deliveries.
Delivery
- We deliver nationwide across Gabon.
- Orders placed before 12:00 PM are delivered same day (subject to confirmation and scheduling).
- Orders after 12:00 PM are delivered the next business day.
- Free delivery in Libreville. Outside Libreville, delivery fees may apply (quoted in advance).
- Delivery times are estimates; delays due to traffic, weather, or force majeure do not constitute breach.
- Risk of loss passes to you upon delivery to your premises or designated location.
- All products are transported in refrigerated trucks to maintain the cold chain (-18°C for frozen goods).
Inspection and Returns
- You must inspect goods immediately upon receipt.
- Report any visible defects, shortages, or quality issues within 24 hours via phone/WhatsApp or email.
- Returns are accepted only within 24 hours of delivery for defects or non-conformity.
- Returned goods must be in original condition (unopened/unused except for inspection), properly stored, and available for our collection/inspection.
- We will arrange refrigerated pickup where required. Approved returns receive credit, replacement, or refund (via bank transfer or invoice adjustment) at our discretion.
- No returns after 24 hours due to the perishable/frozen nature of products. No returns for change of mind.
Force Majeure
We are not liable for delays or failure to perform due to events beyond our control (e.g., strikes, natural disasters, government actions, supply shortages).
Governing Law and Disputes
These terms are governed by the laws of the Gabonese Republic, including OHADA Uniform Acts on commercial law where applicable.
Any disputes shall be resolved amicably first, failing which through the competent courts in Libreville.
Changes
We may update these terms. Continued orders after changes constitute acceptance.
